Terms of Service

1. Services & Scope

The specific services, deliverables, and pricing are defined in the invoice, subscription, or marketing order issued through Stripe.
Services may include, but are not limited to:

  • Google Ads
  • Meta Ads
  • SEO
  • Digital marketing and consulting

Any additional services requested outside the defined scope will be billed at the Supplier’s then-current hourly rate, unless otherwise agreed in writing.

2. Term & Cancellation

  • All recurring services renew automatically each billing cycle unless canceled by written notice.
  • A minimum 30-day cancellation notice applies to all recurring services.
  • Cancellation must be requested in writing via email to [email protected].
  • Early cancellation does not entitle the Customer to a refund for the current billing period.

3. Payments

  • All payments are processed via Stripe in advance of service delivery.
  • The Customer is responsible for ensuring valid payment details remain on file.
  • Failure to process payment may result in suspension of services until payment is received.
  • All fees are exclusive of applicable taxes, which will be charged as required by law.

4. Customer Obligations

The Customer agrees to:

  • Provide accurate billing details (including company name, registered address, and tax ID where applicable).
  • Grant the Supplier timely access to necessary platforms, tools, or accounts required to deliver services.
  • Comply with all applicable laws in connection with the use of the Supplier’s services.

5. Intellectual Property

  • The Customer retains ownership of its pre-existing intellectual property.
  • Upon full payment of fees, the Customer owns the deliverables created specifically for them (Foreground IPRs).
  • The Supplier retains ownership of its pre-existing intellectual property, methodologies, and know-how (Background IPRs).

6. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the services, except as required by law or with prior written consent.

7. Limitation of Liability

  • The Supplier will not be liable for indirect, incidental, or consequential damages, including loss of profits or data.
  • The Supplier’s total liability for any claim shall not exceed the total fees paid by the Customer in the preceding three (3) months.
  • Nothing in these Terms limits liability for fraud, gross negligence, or willful misconduct.

8. Termination

Either party may terminate this Agreement immediately if the other:

  • Commits a material breach and fails to cure it within 30 days of written notice; or
  • Becomes insolvent, bankrupt, or ceases business operations.

Upon termination, all outstanding amounts remain payable immediately.

9. Force Majeure

The Supplier is not liable for failure or delay caused by events beyond its reasonable control, including but not limited to natural disasters, strikes, internet outages, or government actions.

10. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, USA.
The parties agree that the courts of Illinois shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.

11. Entire Agreement

These Terms, together with the invoice or marketing order issued through Stripe, constitute the entire agreement between the parties and supersede all prior understandings, agreements, or representations.

By completing payment via Stripe Checkout, you confirm acceptance of these Terms of Service.
